THE SHOPPING SHIFT — TERMS & CONDITIONS OF USE

These Terms & Conditions of Use (“Terms,” “Agreement”) are legally binding.

By purchasing, accessing, or using The Shopping Shift (“Program”) from The Style Audit Inc., a corporation registered in British Columbia, Canada (“Company,” “we,” “us,” “our”), you (“Participant,” “you,” “your”) agree, without modification, to all Terms below and acknowledge that you have read and understood them.

If you do not agree, do not purchase, access, or use the Program.

1. ACCESS TO THE PROGRAM

The Program includes, but is not limited to:

• Pre-recorded curriculum modules
• Worksheets, templates, and homework materials
• Weekly group coaching calls
• Private community discussions
• Live and recorded video and audio content
• Other written, visual, or digital materials

(collectively, “Materials”).

Your purchase grants:

• Lifetime access to the curriculum modules
• 3 months of access to group coaching calls and the private community
• Call replays available until 4 weeks after the Program end date

Access is for one individual—the paying customer.

You may not share your login, Materials, or access with any other person.

We may revoke access for violation of these Terms or for non-payment.

2. ACCOUNT CREATION

To access the Program, you may need to create an account and provide personal information.

You agree that:

• All information you provide is accurate and up to date
• You will not share your username or password
• You will notify us at info@thestyleaudit.com if you do not receive login details

If we reasonably believe you have provided false information, shared access, or forwarded non-public Materials, we may terminate your account without refund.

3. INTELLECTUAL PROPERTY

All Program content is owned by The Style Audit Inc. and protected by copyright, trademark, and other applicable laws.

You receive a limited, personal, non-transferable, non-commercial license to access the Program for your own personal use.

You may not:

• Copy, reproduce, or share the Materials
• Distribute, sell, or sublicense Materials
• Create derivative works
• Teach or use the Program’s methods in paid or unpaid work
• Use the Program in coaching, workshops, or educational settings
• Use or upload Materials to AI training tools or datasets
• Share logins or Materials with others

Any unauthorized use is grounds for immediate removal without refund and may result in legal action.

4. MEDIA, TESTIMONIALS & CONSENT

We respect your privacy.

A. Use of Your Identity

We will not use your:

• Full name
• Image
• Voice
• Video
• Face
• Identifiable details

without your explicit written consent.

B. Use of Written or Spoken Words

You agree that we may use your words, including:

• Quotes from coaching calls
• Messages posted in the community
• Wins shared publicly inside the Program
• Feedback or testimonials voluntarily provided

as long as we:

• Only use your first name, and
• Remove any identifying details (e.g., employer, location, unique life events)

5. COMMUNITY EXPECTATIONS & CONFIDENTIALITY

The Shopping Shift community is designed to be supportive, respectful, and private.

Participants are expected to honor the confidentiality of others.

A. Confidentiality Rules

You agree that you will not:

• Share call recordings outside the Program
• Share names, faces, or identities of members
• Discuss other members’ stories outside the community

Violation results in immediate removal without refund.

B. Conduct Rules

You agree to:

• Engage respectfully
• Celebrate others’ wins
• Avoid shaming, judgment, or negativity
• Avoid bullying, harassment, discrimination, or personal attacks
• Avoid political debates, arguments, or polarizing topics
• Refrain from marketing, soliciting, or pitching services

Violation results in removal without refund.

C. Limitations of Confidentiality

We enforce confidentiality expectations, but cannot guarantee other members will always comply.

Absolute confidentiality cannot be guaranteed in a group setting.

6. PAYMENT TERMS

The Program offers:

• One-time payment, or
• 3 monthly installments

By enrolling, you agree to pay the full balance of your payment plan.

Payment plans cannot be canceled.

You authorize The Style Audit Inc. to charge the payment method you provide.

7. FAILED PAYMENTS

If a payment fails:

• We will retry up to 3 times
• If unresolved, Program access is paused
• Access will be reinstated once payment is successfully processed

Any missed or late payments are due immediately.

8. DOUBLE OR NOTHING GUARANTEE (Refund Policy)

We offer a Double or Nothing Guarantee.

If you do not earn back 2× your investment within the Program period, you may request a refund.

To qualify, you must:

Provide proof of full Program completion, including:

• 100% completion of all video modules
• Attendance at at least 10 live group coaching calls
• Submission of all assignments when requested

Return on Investment is measured by:

• Money you would have spent on shopping but did not
• Debt paid off during the Program
• Money saved during the Program

Refund Deadline

Refund requests must be submitted within 1 week after the final day of the Program.

Refund requests submitted after this date will not be honored.

How to Request a Refund

Email info@thestyleaudit.com with all required proof of completion.

Refunds will NOT be provided:

• After the deadline
• For lack of participation
• For change of mind
• For inability to attend calls
• For tech issues outside our control

Chargebacks will result in immediate loss of access and we reserve the right to challenge any dispute.

9. TERMINATION OF ACCESS

We may terminate your access, without refund, if:

• You violate these Terms
• You violate community guidelines
• You engage in harmful or abusive behavior
• You share Program content or member information
• You fail to make required payments

Upon termination, all access to Materials and the community ends immediately.

10. DISCLAIMERS

A. Not Therapy

The Program is not:

• Therapy
• Mental health treatment
• Medical treatment
• A substitute for professional care

We are not licensed therapists, counselors, or mental health professionals.

B. Not Financial Advice

The Program does not provide:

• Financial advice
• Accounting advice
• Legal advice
• Investment advice

You are responsible for consulting appropriate professionals.

C. No Guarantees

We do not guarantee:

• Financial outcomes
• Debt reduction
• Behavioural outcomes
• Earnings
• Specific results

Your results depend on your participation, effort, and implementation.

11. THIRD-PARTY RESOURCES

We may link to third-party websites or tools.

We are not responsible for their content, accuracy, or policies.

Use third-party resources at your own risk.

12. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability to you shall not exceed the amount you paid for the Program

13. INDEMNIFICATION

You agree to indemnify and hold The Style Audit Inc. harmless against claims arising from:

• Your actions
• Your use of the Program
• Your breach of these Terms

14. GOVERNING LAW

These Terms are governed by the laws of the Province of British Columbia, Canada, and any disputes must be brought exclusively in British Columbia.

15. SEVERABILITY

If any part of this Agreement is found invalid, the remaining provisions remain in full effect.

16. ENTIRE AGREEMENT

These Terms represent the full agreement between you and The Style Audit Inc. regarding The Shopping Shift.

17. UPDATES TO TERMS

We may update these Terms at any time.
